Seller Terms
Effective Date: July 1, 2026
These Seller Terms apply to anyone who lists, uploads, sells, promotes, or distributes products through Create2Share.By applying as a seller, creating a seller account, uploading a product, or receiving payouts, you agree to these Seller Terms.
1. Seller Responsibility
You are solely responsible for all products you upload, including product files, descriptions, images, previews, titles, tags, metadata, pricing, licenses, accuracy, legality, copyright status, educational claims, and customer support related to your product.
Create2Share may review, approve, reject, remove, edit, hide, suspend, or restrict any listing at any time.
2. Seller Eligibility
Sellers must be at least 18 years old and legally able to enter into contracts. Sellers must provide accurate account, tax, payout, and identity information as required by Create2Share or its payment providers.
3. Product Ownership and Rights
You represent and warrant that:
You own your products or have all rights required to sell them.
Your products do not infringe copyrights, trademarks, privacy rights, publicity rights, contract rights, school/district rights, student rights, or third-party rights.
Your products do not contain stolen, copied, plagiarized, pirated, unauthorized, or unlawfully obtained materials.
You have permission to use any fonts, images, clipart, templates, AI-generated content, photographs, brand names, standards, or third-party materials included in your products.
Your products do not include confidential, proprietary, or restricted school, employer, district, student, or workplace materials unless you have written authorization.
4. License to Create2Share
You grant Create2Share a non-exclusive, worldwide, royalty-free license to host, store, display, market, promote, reproduce, distribute, make available, transmit, and process your products and listing content for the purpose of operating, promoting, improving, and protecting the marketplace.
You retain ownership of your original products, subject to the license you grant to buyers and Create2Share.
5. Buyer License
Unless a product listing clearly states otherwise, each purchase grants the buyer a limited, non-exclusive, non-transferable license for personal, classroom, tutoring, homeschool, or internal educational use.
Buyers may not resell, redistribute, share publicly, upload to other marketplaces, claim ownership of, or commercially exploit seller products unless the seller provides written permission or a broader license.
6. Product Quality Standards
Products must be clear, accurate, usable, lawful, and properly described. Product previews should fairly represent what buyers receive. Sellers may not use misleading thumbnails, fake reviews, false claims, bait-and-switch listings, copied descriptions, inflated value claims, or deceptive educational promises.
7. Prohibited Seller Content
Sellers may not upload products containing prohibited content listed in the Prohibited Content Policy, including infringing materials, adult content, hateful content, unsafe content, malware, personal student information, confidential school records, unauthorized testing materials, or deceptive claims.
8. Pricing and Fees
During the launch period, approved Pioneer Sellers may keep 85% of each sale for their first 6 months, unless otherwise stated in writing by Create2Share.
After the Pioneer Seller period, standard sellers keep 80% of each sale, unless otherwise stated in writing.
There is no Create2Share listing fee during launch unless we later update our pricing.Create2Share’s platform portion helps cover payment processing, marketplace technology, seller support, customer service, marketing, platform growth, refunds, chargeback risk, compliance, and mission-impact operations.
Fees may change with notice. Continued use of the seller platform after a fee change means you accept the updated fee structure.
9. Payouts
Payout timing, methods, minimum payout thresholds, holds, reserves, identity verification, tax forms, and processing requirements may be controlled by Create2Share and/or third-party payment providers.
We may delay, withhold, offset, or reverse payouts if there is suspected fraud, infringement, refund activity, chargebacks, buyer complaints, policy violations, inaccurate seller information, legal requests, or payment provider requirements.
10. Taxes
Sellers are responsible for their own income taxes, business taxes, sales taxes, VAT/GST, filings, licenses, permits, and reporting obligations unless a payment provider or marketplace facilitator law requires otherwise.Create2Share does not provide tax advice.
11. Refunds and Chargebacks
Sellers agree that refunds, chargebacks, payment disputes, fraudulent purchases, duplicate purchases, or product-access issues may affect payouts.
Create2Share may issue refunds in accordance with its Refund Policy or when necessary to protect buyers, comply with law, comply with payment provider rules, or protect the platform.
12. Reviews and Promotions
Sellers may not create fake reviews, pay for undisclosed reviews, manipulate ratings, pressure buyers, threaten buyers, or exchange reviews in a misleading way.
If sellers promote Create2Share or their products in exchange for compensation, free benefits, higher placement, affiliate rewards, or other consideration, they must clearly disclose the relationship where required by law or platform policy.
13. AI-Generated Content
If a product includes AI-generated content, the seller is responsible for verifying accuracy, originality, rights, safety, and suitability. Sellers must not upload AI-generated content that infringes third-party rights, contains fabricated claims, violates privacy, or misleads buyers.
14. Seller Suspension or Removal
Create2Share may suspend or remove sellers and listings for policy violations, suspected infringement, legal risk, buyer complaints, fraud, quality concerns, platform abuse, or any reason that may harm Create2Share, buyers, sellers, or the public.
15. No Guarantee of Sales
Create2Share does not guarantee seller income, product sales, buyer traffic, placement, visibility, ranking, promotion, or business results.
16. Indemnification
You agree to defend, indemnify, and hold harmless SMART BRAIN TLC INC and Create2Share from claims related to your products, listings, content, conduct, infringement, taxes, refunds, customer issues, privacy violations, or breach of these Seller Terms.
