Welcome to Create2Share. Create2Share is operated by SMART BRAIN TLC INC (“Company,” “we,” “us,” or “our”). These Terms of Use govern your access to and use of Create2Share, including our website, marketplace, digital resources, seller tools, buyer tools, communications, and related services.By accessing or using Create2Share, creating an account, purchasing a product, listing a product, downloading a digital resource, or otherwise using the platform, you agree to these Terms. If you do not agree, do not use Create2Share.
1. Platform Role
Create2Share is an online marketplace that allows sellers to list and sell digital educational resources and related digital products. Unless otherwise stated, Create2Share is not the creator, publisher, owner, guarantor, employer, school, accreditor, or legal representative of seller-uploaded products.Sellers are solely responsible for their listings, product content, product descriptions, intellectual property rights, accuracy, legality, quality, and suitability.
2. Eligibility
You must be at least 18 years old to create a seller account or make purchases independently. If you use Create2Share on behalf of an organization, school, company, or other entity, you represent that you have authority to bind that entity.
3. Accounts
You agree to provide accurate information and keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.We may suspend, restrict, or terminate accounts that violate these Terms, create legal risk, misuse the platform, infringe intellectual property rights, engage in fraud, or harm users or Create2Share.
4. Marketplace Purchases
All purchases are subject to product descriptions, license terms, refund rules, and digital download policies posted by Create2Share and/or the seller. Digital products are typically delivered electronically and may be available immediately after purchase.
5. No Guarantee of Results
Create2Share does not guarantee sales, income, business results, educational outcomes, student performance, traffic, exposure, search placement, buyer interest, or product success. Any examples, testimonials, or marketing statements are for informational purposes only and do not guarantee similar results.
6. Educational Use Disclaimer
Products on Create2Share may include educational resources, worksheets, lesson plans, templates, printables, activities, and digital learning materials. These materials are for general educational and informational use only. Create2Share does not guarantee that any product meets a specific school requirement, curriculum standard, state standard, district policy, special education requirement, accessibility requirement, or legal requirement.
Buyers are responsible for reviewing products before use and determining whether materials are appropriate for their students, classroom, homeschool, tutoring, school, organization, or program.
7. User Content
Users may post, upload, submit, list, display, review, or otherwise provide content to Create2Share, including product listings, product files, descriptions, reviews, comments, images, seller profiles, and messages (“User Content”).
You retain ownership of content you own, but you grant Create2Share a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, promote, market, transmit, store, and use your User Content as necessary to operate, promote, improve, and protect the platform.
You represent and warrant that you own or have all rights necessary to upload, sell, license, or share your User Content.
8. Intellectual Property
All Create2Share branding, platform design, logos, text, graphics, software, systems, marketplace structure, and website content are owned by SMART BRAIN TLC INC or its licensors and are protected by intellectual property laws.
You may not copy, scrape, reproduce, reverse engineer, resell, modify, or exploit Create2Share’s platform, branding, or content without written permission.
9. Prohibited Conduct
You may not use Create2Share to commit fraud, upload unlawful content, infringe intellectual property rights, impersonate others, misrepresent products, upload malware, scrape data, interfere with platform operations, harass users, manipulate reviews, evade fees, or violate any applicable law.
10. Fees, Payments, and Taxes
Seller payouts, platform fees, payment processing, refunds, chargebacks, and taxes are governed by Create2Share’s Seller Terms, Buyer Terms, Refund Policy, and payment provider terms.
Sellers are responsible for determining and paying any taxes related to their sales, income, business activity, or seller operations unless otherwise required by law or handled by a payment provider.
11. Third-Party Services
Create2Share may use third-party tools, plugins, payment processors, hosting providers, analytics tools, email tools, and other service providers. We are not responsible for third-party service interruptions, fees, errors, policies, or actions.
12. Platform Changes
We may update, modify, suspend, discontinue, or restrict any part of Create2Share at any time, including features, fees, categories, seller tools, product requirements, policies, or platform access.
13. Disclaimers
Create2Share is provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
14. Limitation of Liability
To the fullest extent permitted by law, SMART BRAIN TLC INC, Create2Share, its owners, officers, directors, employees, contractors, affiliates, vendors, and service providers will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages arising from your use of the platform.
To the fullest extent permitted by law, our total liability for any claim related to Create2Share will not exceed the amount you paid to Create2Share in the six months before the claim, or $100, whichever is greater.
15. Indemnification
You agree to defend, indemnify, and hold harmless SMART BRAIN TLC INC, Create2Share, its owners, officers, directors, employees, contractors, affiliates, vendors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your content, products, account, conduct, violation of these Terms, violation of law, infringement of rights, or misuse of the platform.
16. Dispute Resolution
Before filing any claim, you agree to contact us at info@create2share.org and attempt to resolve the dispute informally.
To the fullest extent permitted by law, any dispute will be handled individually and not as a class action, collective action, or representative action.
17. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless another law applies and cannot be waived.
18. Changes to Terms
We may update these Terms from time to time. The updated version will be posted with a new effective date. Continued use of Create2Share after changes means you accept the updated Terms.
